Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the TIC mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. About TIC

Tahsin Investments & Co Limited ("TIC") is a Limited Liability Company registered in the Masdar City Free Zone, Abu Dhabi, United Arab Emirates, under Economic Licence No. MC 12779 (first issued 14 February 2022, current issue valid through 13 February 2027). The licence permits activities in Artificial Intelligence Training, Consultancy (Financial Advisors), E-Commerce, and Holding Company operations.

3. Eligibility

To use the App, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the App under applicable laws.
• Provide accurate and complete registration information.

4. Account Registration

4.1 Account Creation

You must create an account to access the App's features. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms.
• Fraudulent or illegal activity.
• Abusive behavior towards other users or our team.
• Non-payment of subscription fees.
• Any other reason at our sole discretion, with reasonable notice where possible.

5. Subscription Plans

5.1 Tiers

The App offers the following subscription tiers:

• Free: Basic access to limited signals, educational content, and community features.
• Pro: Enhanced access to additional signals, advanced tools, and priority support.
• Elite: Full access to all signals, premium tools, copy trading features, and exclusive content.

5.2 Billing

• Subscriptions are billed through the Apple App Store or Google Play Store.
• Payment is charged to your App Store or Play Store account at confirmation of purchase.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
• Prices are subject to change. We will notify you of price changes in advance.

5.3 Cancellation and Refunds

• You may cancel your subscription at any time through your App Store or Play Store settings.
• Cancellation takes effect at the end of the current billing period.
• Refunds are handled according to Apple's or Google's refund policies.
• We do not provide refunds for partial subscription periods.

5.4 Free Trials and Promotional Offers

If TIC offers a free trial, you will be automatically enrolled in the paid subscription at the end of the trial period unless you cancel at least 24 hours before the trial ends. Promotional or introductory prices apply only for the stated introductory period and revert to standard pricing thereafter. Free trials are limited to one per Apple ID or Google Play account; re-subscribing does not grant a new trial.

6. Permitted Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You shall not:

• Use the App for any illegal or unauthorized purpose.
• Reverse engineer, decompile, or disassemble the App.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Distribute, modify, or create derivative works based on the App.
• Use automated tools, bots, or scripts to interact with the App.
• Transmit viruses, malware, or other harmful code.
• Harass, abuse, or harm other users through the community features.
• Misrepresent your identity or affiliation.
• Use the App to promote competing services.

7. Trading Signals and Financial Content

7.1 Nature of Content

• All trading signals, market analysis, and educational content provided through the App are for informational and educational purposes only.
• Our content does not constitute financial advice, investment advice, or a recommendation to buy, sell, or hold any financial instrument.
• TIC holds a Masdar City Free Zone economic licence (MC 12779) permitting, among other activities, AI Training, E-Commerce, and Consultancy. TIC is not authorised by the UAE SCA, ADGM FSRA, DIFC DFSA, or any other financial-markets regulator as an investment adviser, broker-dealer, portfolio manager, or custodian of client funds. TIC does not execute trades, hold client funds, or manage accounts on behalf of users.

7.3 No Guarantee

• We do not guarantee the accuracy, completeness, or timeliness of any trading signal or market analysis.
• Signal performance statistics are historical and provided for transparency. They do not predict future performance.
• Market conditions can change rapidly, and signals may not reflect current conditions by the time you act on them.

8. Broker Account Connectivity

8.1 MetaApi Integration

• The App allows you to connect your trading account via MetaApi for portfolio tracking purposes.
• By connecting your broker account, you authorize us to view your account data (balances, positions, trade history) through MetaApi.
• We do not execute trades on your behalf. The connection is read-only for display purposes.
• You are responsible for ensuring your broker account credentials are accurate and that your broker permits third-party data access.

8.2 Broker Responsibility

• TIC is not a broker, dealer, or exchange. We have no control over the execution of trades.
• Any issues with trade execution, account access, or funds should be directed to your broker.

9. Community Features

9.1 User-Generated Content

• The App may include community features where users can post content.
• You retain ownership of content you post but grant us a non-exclusive, worldwide license to display, distribute, and use such content within the App.
• You are solely responsible for content you post.

9.2 Prohibited Content

You shall not post content that is:

• Illegal, defamatory, or fraudulent.
• Harassing, threatening, or abusive.
• Obscene, offensive, or inappropriate.
• Spam, advertising, or promotional material for competing services.
• Misleading financial advice or guaranteed profit claims.

We reserve the right to remove any content and suspend accounts that violate these guidelines.

TIC does not endorse, verify, or guarantee the accuracy of any user-generated content, including user-posted trade ideas, signals, or financial commentary. Other users' content is not endorsed by TIC and should not be relied upon as a basis for trading decisions. Users who post misleading financial content, guaranteed-profit claims, or content that violates these Terms may be permanently banned without refund.

10. Intellectual Property

• The App, including its design, code, content, logos, and trademarks, is owned by Tahsin Investments & Co Limited and protected by intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.
• You may not copy, modify, distribute, or create derivative works from any part of the App without our written consent.

11. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
• ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT.
• UNINTERRUPTED OR ERROR-FREE OPERATION.
• SECURITY OF DATA TRANSMITTED THROUGH THE APP.

WE DO NOT WARRANT THAT TRADING SIGNALS WILL BE PROFITABLE OR THAT THE APP WILL MEET YOUR SPECIFIC REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP.
• TIC SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, OR FINANCIAL DAMAGES RESULTING FROM RELIANCE ON SIGNALS OR CONTENT PROVIDED THROUGH THE APP.
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Tahsin Investments & Co Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App.
• Your violation of these Terms.
• Your trading decisions or activities.
• Your violation of any third-party rights.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or by email. Continued use of the App after changes constitutes acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the United Arab Emirates.
• Any disputes arising from these Terms or the use of the App shall be resolved through arbitration in Abu Dhabi, UAE, in accordance with the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre.
• Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TIC regarding the use of the App.

19. Apple and Google Platform Terms

19.1 Apple App Store

If you downloaded the App from the Apple App Store, you acknowledge that these Terms are concluded between you and TIC only, and not with Apple Inc. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, consumer protection claims, or intellectual property infringement claims. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

19.2 Google Play Store

If you downloaded the App from the Google Play Store, you acknowledge that these Terms are concluded between you and TIC only, and not with Google LLC. Google is not responsible for the App or its content. Your use of the App must comply with Google Play's Terms of Service.
