1. Definitions
For the purposes of these Terms of Service ("Terms"), the following definitions shall apply:
- "Company," "we," "us," or "our" refers to Tahsin Investments & Co Limited (License No. MC 12779) ("TIC"), including its affiliates, officers, directors, employees, and agents.
- "Client," "you," or "your" refers to any individual or entity that accesses our Website or uses our Services.
- "Services" refers collectively to AI Copy Trading, PAMM Accounts, AI Trading solutions, mentorship programs, educational content, and any other services offered by TIC through the Website or otherwise.
- "Website" refers to the website located at https://tahsininvestmentsco.com/ and any associated subdomains, mobile applications, or digital platforms.
- "AI Copy Trading" refers to the service by which a Client may automatically mirror AI-driven trading strategies in their own brokerage account.
- "PAMM Account" refers to a Percentage Allocation Management Module account through which TIC executes trading strategies on behalf of participating Clients, with proportional profit and loss distribution.
- "AI Trading" refers to algorithmic trading strategies powered by machine learning and proprietary technology developed by TIC.
- "Client Agreement" refers to the separate, binding agreement executed between TIC and the Client that governs the specific terms of the Services provided, including fee schedules and performance parameters.
- "Third-Party Brokerage" refers to any licensed brokerage firm through which the Client maintains a trading account.
2. Introduction and Acceptance
Welcome to Tahsin Investments Co. These Terms govern your use of our Website and Services. These Terms apply to all Clients worldwide, regardless of geographic location. By accessing the Website or using the Services from any jurisdiction, you acknowledge that you are responsible for compliance with all local laws and regulations applicable to you, and that TIC makes no representation that the Services are appropriate or available for use in all jurisdictions.
By accessing our Website or using our Services, you agree to be bound by these Terms, the Privacy Policy, the Risk Disclosure Statement, and any applicable Client Agreement (collectively, the "Governing Documents"). If you do not agree to any of the Governing Documents, you may not access the Website or use the Services.
TIC reserves the right to amend these Terms at any time by posting the revised version on the Website with an updated "Last Updated" date and version number. Your continued use of the Website or Services after such amendments constitutes your acceptance of the revised Terms. Material changes will be communicated via email to the address on file.
3. Eligibility
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding agreements.
TIC reserves the right to refuse service to any individual or entity, at its sole and absolute discretion, without obligation to provide a reason.
4. Services
TIC provides institutional-grade trading solutions and educational programs. Our Services include, but are not limited to:
- AI Copy Trading: Automatically mirror our AI-driven trading strategies in your own brokerage account. AI Copy Trading ideas are informational tools and do not constitute personalized investment advice.
- PAMM Accounts: Participate in a Percentage Allocation Management Module for hands-off investing with proportional profit and loss distribution, subject to the terms of the Client Agreement.
- AI Trading: Utilize our algorithmic trading strategies powered by machine learning and proprietary technology.
- Mentorship and Education: Access educational programs, mentorship sessions, and trading resources.
Our Services are provided on a non-custodial basis, meaning your funds remain in your own brokerage account at all times. We do not have direct access to your capital.
IMPORTANT: TIC is not a regulated financial advisor, broker-dealer, or asset manager. TIC does not provide personalized investment advice, and no communication from TIC shall be construed as a recommendation to buy, sell, or hold any financial instrument. TIC does not take into account your personal financial situation, investment objectives, or risk tolerance.
5. User Accounts and Responsibilities
To use our Services, you must open an account with a Third-Party Brokerage. You are solely responsible for maintaining the security of your brokerage account and for all activities that occur under your account.
You agree to provide accurate and complete information when you register for our Services and to keep this information up to date.
Prohibited Uses. You agree not to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code or algorithms of any TIC proprietary technology, AI models, or trading strategies.
- Scrape, harvest, or collect data from the Website or Services by any automated means.
- Resell, redistribute, sublicense, or commercially exploit any TIC signals, trading strategies, or educational materials without prior written consent.
- Use the Services for any purpose that is illegal, fraudulent, or in violation of any applicable laws or regulations, including but not limited to money laundering, terrorist financing, or market manipulation.
- Interfere with or disrupt the integrity or performance of the Website or Services.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
- Use the Services to compete with TIC or develop a competing product or service.
6. AML and KYC Compliance
In compliance with applicable Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) laws and regulations, including those of the United Arab Emirates and any other jurisdiction in which you reside or operate, a Third-Party Brokerage may require you to provide identification documents and other information to verify your identity (Know Your Customer or KYC). You agree to cooperate fully with all such requests.
In addition to Third-Party Brokerage requirements, TIC reserves the right to request its own KYC documentation from Clients, particularly PAMM Account participants and institutional clients. TIC may require identity verification, proof of address, source of funds documentation, and any other information deemed necessary for compliance purposes.
Third-Party Brokerages and TIC each reserve the right to refuse or terminate services if they are unable to verify your identity or if they suspect any illicit activity.
7. Fees and Payments
Our fee structure is performance-based. TIC does not charge upfront management fees or require external payments from Clients. Fees are earned solely as a percentage of trading profits generated, as detailed in the applicable Client Agreement.
- Performance Fees: TIC earns fees only when profits are generated on your account. The specific percentage and calculation methodology (including high-water mark provisions, if applicable) are set out in your Client Agreement.
- No Management Fees: TIC does not charge recurring management fees, subscription fees, or any other fixed charges for access to its Services, unless otherwise expressly agreed in writing.
- Currency: All fees are denominated in the currency specified in the Client Agreement.
- Fee Adjustments: TIC reserves the right to adjust the performance fee percentage upon thirty (30) days' written notice. Continued use of Services after the notice period constitutes acceptance of the revised fee schedule.
- Taxes: You are solely responsible for any taxes, duties, or levies imposed by your jurisdiction in connection with your use of the Services or any profits earned.
- Third-Party Costs: You are responsible for any fees, commissions, spreads, or charges imposed by your Third-Party Brokerage. TIC has no control over and bears no responsibility for brokerage-level costs.
8. Intellectual Property
All content on the Website, including but not limited to text, graphics, logos, software, algorithms, trading strategies, AI models, educational materials, audio, video, and podcast content, is the property of Tahsin Investments Co. or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any of the content on the Website without our prior written consent.
User-Generated Content License. By submitting any content to TIC, including but not limited to testimonials, reviews, trading results, feedback, or any other materials, you grant TIC a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media for marketing, promotional, educational, or operational purposes.
Trademarks. The TIC name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tahsin Investments Co. You may not use such marks without prior written permission.
9. Disclaimers
Trading in financial markets involves a significant risk of loss and is not suitable for all investors. The value of investments can fluctuate, and you may lose all of your invested capital.
Past performance is not indicative of future results. Any performance data or testimonials on the Website are not a guarantee of future returns. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.
AI and algorithmic trading performance is based on backtested or historical data. Live trading results may differ materially from backtested or simulated results due to market conditions, execution quality, slippage, and other factors.
The information provided on the Website is for informational and educational purposes only and does not constitute financial, investment, legal, or tax advice. You should consult with a qualified financial advisor before making any investment decisions.
TIC is not responsible for Third-Party Brokerage execution quality, slippage, requotes, platform outages, or technical failures on the broker's side. TIC has no control over brokerage operations and bears no liability for broker-side issues.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
To the fullest extent permitted by law, Tahsin Investments Co. and its affiliates, officers, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, trading opportunities, or any other intangible losses, arising from your use of the Website or Services.
Monetary Cap. In no event shall TIC's total aggregate liability to you for all claims arising out of or related to these Terms or the Services exceed the total fees actually paid by you to TIC in the twelve (12) months immediately preceding the event giving rise to the claim, or One Thousand United States Dollars (USD $1,000), whichever is greater.
Waiver of Consequential Damages. You expressly waive any right to claim consequential, special, incidental, or punitive damages, including but not limited to lost profits, lost trading opportunities, and loss of anticipated revenue, whether based on contract, tort, negligence, strict liability, or any other legal theory.
11. Indemnification
You agree to indemnify, defend, and hold harmless Tahsin Investments Co. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Website or Services, your violation of these Terms, or your violation of any rights of a third party.
TIC shall have the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with TIC's defense of such claim.
This indemnification obligation shall survive the termination of these Terms and your use of the Services.
12. Termination
We may terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
You may terminate your relationship with us at any time by providing written notice, subject to the terms of your Client Agreement, including any applicable notice periods and outstanding fee obligations.
Effects of Termination. Upon termination:
- You must immediately disconnect from all AI Copy Trading and PAMM services. TIC is not liable for any trades executed during any disconnection delay.
- All outstanding fees become immediately due and payable.
- TIC will retain your data in accordance with the Privacy Policy and applicable legal requirements.
- Sections 1, 8, 9, 10, 11, 13, 14, and 15 shall survive termination.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be finally resolved by arbitration seated in Abu Dhabi, United Arab Emirates, in accordance with the applicable arbitration laws in force at the time of the dispute. The arbitration shall be conducted by a single arbitrator, and the language of the arbitration shall be English.
Arbitration Costs. The costs of arbitration, including arbitrator fees, administrative costs, and reasonable legal fees, shall be borne by the losing party unless the arbitrator determines otherwise.
Injunctive Relief. Notwithstanding the foregoing, Tahsin Investments & Co Limited may seek injunctive or other equitable relief in any court of competent jurisdiction for the protection of its intellectual property rights, confidential information, or to prevent irreparable harm.
Class Action Waiver. You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms (other than for a delay in the payment of money due and payable) for causes beyond that party's reasonable control and not caused by that party's fault or negligence, including but not limited to acts of God, government actions, flood, fire, earthquakes, civil unrest, acts of terror, strikes, labor disputes, computer-related attacks or malicious acts, internet service provider failures, telecommunications or hosting facility disruptions, market disruptions, exchange halts, liquidity crises, flash crashes, regulatory changes, sanctions, embargoes, pandemics, epidemics, and any other events beyond reasonable control.
15. Miscellaneous
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement: These Terms, along with any Client Agreement, Privacy Policy, and Risk Disclosure Statement, constitute the entire agreement between you and Tahsin Investments Co. regarding our Services and supersede all prior agreements.
- No Waiver: The failure of TIC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by TIC.
- Assignment: TIC may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction and without your consent. You may not assign or transfer your rights or obligations without TIC's prior written consent.
- Notices: All formal notices under these Terms shall be in writing and delivered via email to the addresses on file. Notices shall be deemed received upon confirmation of delivery or, if sent by email, twenty-four (24) hours after sending to the last known email address.
- Headings: The headings in these Terms are for convenience only and shall not affect their interpretation.
- Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and TIC.
